Who we are and what these Terms cover\u003C\u002Fh2>\n\u003Cp>Padli is an electronic platform for discovering padel venues, booking courts, organising\nmatches and paying for them. The Platform is owned and operated by \u003Cstrong>VORTEK INOVATIONS\nD.O.O. Skopje\u003C\u002Fstrong>, a trade and services company with its registered office at Njudehliska\n6\u002F1-13, Karposh, Skopje, Republic of North Macedonia, EMBS 7757832, TAX ID\nMK4057024570335, a VAT payer (in these Terms: \u003Cem>&quot;Padli&quot;\u003C\u002Fem>, \u003Cem>&quot;we&quot;\u003C\u002Fem>, \u003Cem>&quot;us&quot;\u003C\u002Fem>).\u003C\u002Fp>\n\u003Cp>These General Terms of Use (the \u003Cem>&quot;Terms&quot;\u003C\u002Fem>) govern your access to and use of the Platform\nas a \u003Cstrong>player\u003C\u002Fstrong>. They form a binding agreement between you and Padli from the moment you\ncreate a user account or make a booking.\u003C\u002Fp>\n\u003Cp>Venues that list their courts on Padli are governed by a separate agreement — the \u003Cstrong>Venue\nPartner Terms\u003C\u002Fstrong> — not by this document.\u003C\u002Fp>\n\u003Cp>The following documents form an integral part of these Terms and apply together with them:\u003C\u002Fp>\n\u003Cul>\n\u003Cli>the \u003Cstrong>Privacy Policy\u003C\u002Fstrong>, at \u003Ca href=\"http:\u002F\u002Fwww.padli.app\u002Fprivacy-policy\">www.padli.app\u002Fprivacy-policy\u003C\u002Fa>;\u003C\u002Fli>\n\u003Cli>the \u003Cstrong>Cookie Policy\u003C\u002Fstrong>, at \u003Ca href=\"http:\u002F\u002Fwww.padli.app\u002Fcookie-policy\">www.padli.app\u002Fcookie-policy\u003C\u002Fa>;\u003C\u002Fli>\n\u003Cli>the \u003Cstrong>Refund and Cancellation Policy\u003C\u002Fstrong>, at \u003Ca href=\"http:\u002F\u002Fwww.padli.app\u002Frefund-policy\">www.padli.app\u002Frefund-policy\u003C\u002Fa>;\u003C\u002Fli>\n\u003Cli>the \u003Cstrong>Community Guidelines\u003C\u002Fstrong>, at \u003Ca href=\"http:\u002F\u002Fwww.padli.app\u002Fcommunity-guidelines\">www.padli.app\u002Fcommunity-guidelines\u003C\u002Fa>.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Cp>If you do not accept these Terms, please do not use the Platform.\u003C\u002Fp>\n\u003Ch2>2. Definitions\u003C\u002Fh2>\n\u003Cp>For the purposes of these Terms, the following terms have the meanings stated:\u003C\u002Fp>\n\u003Cul>\n\u003Cli>\u003Cstrong>Platform\u003C\u002Fstrong> — the electronic platform \u003Ca href=\"http:\u002F\u002Fwww.padli.app\">www.padli.app\u003C\u002Fa>, including the web version and the\nPadli mobile applications for iOS and Android.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>User\u003C\u002Fstrong> (or \u003Cem>Player\u003C\u002Fem>) — any natural person registered on the Platform who uses its\nservices.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Visitor\u003C\u002Fstrong> — any person who accesses the Platform without being registered.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Venue\u003C\u002Fstrong> — a padel club or sports facility whose courts are offered for booking on the\nPlatform.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Court\u003C\u002Fstrong> — an individual playing court belonging to a Venue.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Booking\u003C\u002Fstrong> — a reservation of a Court for a defined date, start time and duration.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Seat\u003C\u002Fstrong> — one player&#39;s place in a Booking. The number of seats is determined by the\nformat of the booked Court (for example, four seats for padel doubles).\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Participant\u003C\u002Fstrong> — a User or Guest who occupies a Seat in a Booking.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Guest\u003C\u002Fstrong> — a person named in a Booking by a Participant who does not have a Padli\naccount.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Organiser\u003C\u002Fstrong> — the User who created the Booking and who is responsible for it.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Open match\u003C\u002Fstrong> — a Booking whose unfilled Seats have been made publicly joinable by the\nOrganiser.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Court price\u003C\u002Fstrong> — the amount charged by the Venue for the use of the Court.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Service fee\u003C\u002Fstrong> — the fee charged by Padli to the player for the use of the Platform,\nshown separately and added on top of the Court price.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Credit\u003C\u002Fstrong> — a balance of money that Padli holds in your name at one particular Venue and\nthat you may use to pay for bookings at that Venue (section 5.6).\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Bonus credit\u003C\u002Fstrong> — Credit granted to you under a promotion, which you did not pay for and\nwhich carries an expiry date.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Promo code\u003C\u002Fstrong> — a code that reduces what you pay for a single Booking at the moment of\npayment (section 5.7).\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Venue-made booking\u003C\u002Fstrong> — a Booking created for you by a Venue at its own desk\n(section 5.8).\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Ch2>3. Registration and user account\u003C\u002Fh2>\n\u003Ch3>3.1. Age, legal capacity and minors\u003C\u002Fh3>\n\u003Cp>\u003Cstrong>To open an account and to pay through the Platform you must be at least 18 years of age\u003C\u002Fstrong>\nand have full legal capacity to enter into contracts. By registering, you confirm that this\nis so.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>A person under 18 may use the Platform only with the consent and under the supervision of\na parent or legal guardian\u003C\u002Fstrong>, and only from the age of \u003Cstrong>14\u003C\u002Fstrong> — the age from which the\nlegislation of the Republic of North Macedonia permits a minor to consent to the processing\nof their personal data in relation to services offered online. Where a minor uses the\nPlatform:\u003C\u002Fp>\n\u003Cul>\n\u003Cli>the parent or legal guardian accepts these Terms on their behalf and is bound by them;\u003C\u002Fli>\n\u003Cli>the parent or legal guardian is responsible for payment for every booking made, and for\nthe minor&#39;s conduct at the Venue and towards other players;\u003C\u002Fli>\n\u003Cli>the parent or legal guardian is responsible for supervising which matches the minor takes\npart in, including matches published as \u003Cstrong>open matches\u003C\u002Fstrong>, which strangers may join.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Cp>\u003Cstrong>We do not permit accounts for persons under 14 years of age.\u003C\u002Fstrong>\u003C\u002Fp>\n\u003Cp>The simplest route for a junior player remains to take part as a \u003Cstrong>Guest\u003C\u002Fstrong> named by an adult\naccount holder (section 6.2), who is responsible for them and pays for their Seat. This\nrequires no account.\u003C\u002Fp>\n\u003Cp>We may request proof of age, or proof of the consent of a parent or legal guardian, at any\ntime, and may restrict, suspend or close an account where age or consent cannot be\nestablished. We do not assume liability for false statements of age made to us.\u003C\u002Fp>\n\u003Cp>If you believe that a person under 14 holds an account, or that a minor is using the\nPlatform without the consent of their parent or guardian, please write to us at\n\u003Ca href=\"mailto:hey@padli.app\">hey@padli.app\u003C\u002Fa> and we will act on it.\u003C\u002Fp>\n\u003Ch3>3.2. Registration and sign-in\u003C\u002Fh3>\n\u003Cp>A player account is created with a \u003Cstrong>phone number or an e-mail address\u003C\u002Fstrong>, confirmed by a\none-time code (OTP) sent to you. Padli player accounts do \u003Cstrong>not\u003C\u002Fstrong> use passwords.\u003C\u002Fp>\n\u003Cp>You may alternatively sign in with \u003Cstrong>Google\u003C\u002Fstrong> or \u003Cstrong>Apple\u003C\u002Fstrong>. In that case we receive only\nbasic profile information from the provider (name, e-mail address and, where available, a\nprofile picture). We never receive your password with the provider. Where the identifier\nreturned by the provider is already verified and matches an existing Padli account, the\ntwo are linked automatically.\u003C\u002Fp>\n\u003Cp>Accounts for Venue staff and for platform administrators are separate, are protected by a\npassword, and are governed by the Venue Partner Terms. A player session can never be used\nto access a Venue or administrator console.\u003C\u002Fp>\n\u003Ch3>3.3. Accuracy of your data\u003C\u002Fh3>\n\u003Cp>You enter your first and last name, and optionally a date of birth, gender, profile\npicture, short biography and playing preferences. \u003Cstrong>You are responsible for the accuracy\nof the data you enter.\u003C\u002Fstrong> Other players see the parts of it described in section 15.\u003C\u002Fp>\n\u003Ch3>3.4. Account security\u003C\u002Fh3>\n\u003Cp>Your session is kept in a secure cookie that JavaScript cannot read and that expires. You\nmust not share access to your account, and you must notify us at \u003Ca href=\"mailto:hey@padli.app\">hey@padli.app\u003C\u002Fa> if you\nbelieve someone else has gained access to it. You may sign out of the Platform at any\ntime.\u003C\u002Fp>\n\u003Cp>Your account settings list \u003Cstrong>every device currently signed in\u003C\u002Fstrong> to your account — the device\nand application, when it was last used, and the network address it connected from — and you\nmay sign any of them out remotely. If you do not recognise a device, sign it out and write\nto us at \u003Ca href=\"mailto:hey@padli.app\">hey@padli.app\u003C\u002Fa>.\u003C\u002Fp>\n\u003Cp>One account belongs to one natural person. Creating multiple accounts in order to\ncircumvent a restriction, a debt, a block or a level is prohibited (section 18).\u003C\u002Fp>\n\u003Ch2>4. What Padli is, and what it is not\u003C\u002Fh2>\n\u003Cp>Padli is a booking and organisation platform. \u003Cstrong>The padel service itself — the court, its\ncondition, its equipment, its lighting, its changing rooms and everything else that\nhappens at the facility — is provided by the Venue, not by Padli.\u003C\u002Fstrong>\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Who sells you the Court depends on the Venue.\u003C\u002Fstrong> For most Venues, Padli acts as the\n\u003Cstrong>seller of record\u003C\u002Fstrong>: your card is charged in Padli&#39;s name, Padli issues you the receipt for\nthe full amount, and Padli settles with the Venue separately — that receipt names both Padli\n(as seller) and the Venue (as the merchant that actually rendered the service). Where a\nVenue&#39;s operating company sells through Padli \u003Cstrong>as its agent\u003C\u002Fstrong>, that company is the seller of\nthe Court and Padli only collects the payment in its name and on its behalf; what Padli sells\nyou is the Service fee, and the documents you receive are split accordingly (section 5.5).\u003C\u002Fp>\n\u003Cp>Either way you pay one amount, with one card, through Padli. Which arrangement applies is\nstated at checkout before you pay and is \u003Cstrong>fixed for that Booking when you make it\u003C\u002Fstrong>, so a\nlater change never alters a Booking already made. Neither arrangement makes Padli the\nprovider of the sporting service.\u003C\u002Fp>\n\u003Cp>Padli does not organise your match, does not vouch for the other players in it, and is not\na party to any arrangement you make with them.\u003C\u002Fp>\n\u003Ch2>5. Booking a court\u003C\u002Fh2>\n\u003Ch3>5.1. Availability and prices\u003C\u002Fh3>\n\u003Cp>Availability, opening hours, court types, playing formats, permitted durations and prices\nare set by each Venue and may change at any time. The price shown at the moment of booking\nis the price that applies to that Booking; a later price change by the Venue does not\naffect a Booking already made.\u003C\u002Fp>\n\u003Cp>A Court may offer more than one playing format (for example, singles and doubles). Where\nit does, the format you choose determines how many Seats the Booking has and therefore how\nthe price is divided.\u003C\u002Fp>\n\u003Ch3>5.2. Confirmation\u003C\u002Fh3>\n\u003Cp>A Booking exists only once it is confirmed by the Platform and shown in your account. Until\nthen the slot is not held for you. If two players attempt to take the same slot, the\nBooking that is completed first prevails.\u003C\u002Fp>\n\u003Ch3>5.3. What you pay\u003C\u002Fh3>\n\u003Cp>The total shown before you confirm consists of:\u003C\u002Fp>\n\u003Col>\n\u003Cli>the \u003Cstrong>Court price\u003C\u002Fstrong> set by the Venue, and\u003C\u002Fli>\n\u003Cli>the \u003Cstrong>Service fee\u003C\u002Fstrong> charged by Padli, calculated as a percentage of the Court price and\ndisplayed separately before payment.\u003C\u002Fli>\n\u003C\u002Fol>\n\u003Cp>Where a promotional service-fee rate is running, the standard rate is shown struck through\nbeside it. Both rates and both amounts are \u003Cstrong>frozen onto your Booking at the moment it is\ncreated\u003C\u002Fstrong>, so a later change to either rate never affects a Booking already made.\u003C\u002Fp>\n\u003Cp>From that total may be deducted:\u003C\u002Fp>\n\u003Col start=\"3\">\n\u003Cli>a \u003Cstrong>Promo code\u003C\u002Fstrong> discount, where you enter a code that is valid for the Booking\n(section 5.7); and\u003C\u002Fli>\n\u003Cli>your \u003Cstrong>Credit\u003C\u002Fstrong> at that Venue, where you choose to use it (section 5.6).\u003C\u002Fli>\n\u003C\u002Fol>\n\u003Cp>\u003Cstrong>A Promo code and Credit cannot be used on the same Booking\u003C\u002Fstrong> — you choose one. Whatever\nremains after the deduction is the amount your card is charged; where Credit covers the\nwhole amount, no card is charged at all.\u003C\u002Fp>\n\u003Cp>All amounts are shown and charged in Macedonian denars (MKD) and are rounded to whole\ndenars.\u003C\u002Fp>\n\u003Ch3>5.4. Payment\u003C\u002Fh3>\n\u003Cp>Payments on the Platform are made by payment card (VISA or MasterCard). All transactions\nare processed through the payment system of \u003Cstrong>Halk Bank AD Skopje\u003C\u002Fstrong>, which is certified by\nVISA and MasterCard. During payment the HTTPS security protocol and Secure Socket Layer\n(SSL) technology are used to protect data, together with 3-D Secure authentication.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>We have no insight whatsoever into your payment card data\u003C\u002Fstrong> (full card number, security\ncode or account balance). If you choose to save a card for future bookings, we store only\na bank-issued token together with the card brand, the last four digits and the expiry\ndate.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Paying does not always mean the money moves at that moment.\u003C\u002Fstrong> Depending on how far ahead\nthe match is, confirming payment may mean one of three things:\u003C\u002Fp>\n\u003Col>\n\u003Cli>\u003Cstrong>the amount is taken\u003C\u002Fstrong> from your card straight away;\u003C\u002Fli>\n\u003Cli>\u003Cstrong>the amount is frozen\u003C\u002Fstrong> on your card (a pre-authorisation) and taken after the match; or\u003C\u002Fli>\n\u003Cli>\u003Cstrong>you commit the card\u003C\u002Fstrong> — you authorise the exact amount, nothing is frozen yet, and the\nfreeze is placed automatically as the match approaches, because a card reservation made\nweeks in advance would lapse before it could be used.\u003C\u002Fli>\n\u003C\u002Fol>\n\u003Cp>In all three cases you have agreed to the amount shown at the moment you confirmed, and the\nmoney is finally taken as described in section 6.3. Where you cancel in time, the\nauthorisation is released and nothing is taken; a released reservation may take a few\nbusiness days to disappear from your statement, which is determined by your bank.\u003C\u002Fp>\n\u003Cp>Two payments on the Platform are not payments for a Booking and do not work this way:\n\u003Cstrong>Credit that you buy\u003C\u002Fstrong> is charged to your card immediately and in full (section 5.6), and an\n\u003Cstrong>outstanding balance\u003C\u002Fstrong> that you settle is charged immediately (section 6.4). And where a\nBooking is paid entirely from Credit, no card is involved at all — nothing is frozen and\nnothing is taken later.\u003C\u002Fp>\n\u003Ch3>5.5. Receipts and VAT\u003C\u002Fh3>\n\u003Cp>For every amount charged, Padli issues an electronic receipt, sent to the e-mail address\non your account and available in your account. The rate applied is the statutory rate in\nforce when the Booking was made (\u003Cstrong>18% at the date of these Terms\u003C\u002Fstrong>) and it is \u003Cstrong>frozen onto\nthe Booking\u003C\u002Fstrong>, so a later change in the statutory rate never re-rates a Booking already made.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Where Padli is the seller of record\u003C\u002Fstrong> (section 4), value added tax is calculated on the\nwhole receipt — the Court price and the Service fee alike — and the Venue is printed on the\nreceipt as the merchant that rendered the service, with the legal identity it held at the\ntime of the charge.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Where the Venue&#39;s operating company sells and Padli acts as its agent\u003C\u002Fstrong> (section 4), the\none payment produces two documents, delivered together: an invoice for the Court \u003Cstrong>issued in\nthat company&#39;s name\u003C\u002Fstrong>, by Padli on its order and under that company&#39;s own invoice numbering,\nand — where a Service fee is charged — Padli&#39;s own receipt for that fee. The tax on the Court\nis that company&#39;s to account for and is shown according to its own VAT status, so an invoice\nfrom a company outside the VAT system carries no VAT and states why; the tax on the Service\nfee is Padli&#39;s. The amount you pay is the same either way.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Credit is taxed when you spend it, not when you buy it.\u003C\u002Fstrong> Buying Credit is a prepayment\nrather than a purchase of anything in particular: it can be spent at a Venue whose own tax\nposition is not ours to know in advance. So the receipt for a top-up carries no value added\ntax and says so, and each Booking you then pay for from Credit is taxed in the ordinary way\n— by whoever sold you that Court, at their rate (section 5.5). Paying from Credit never\nchanges what tax a Booking carries; it is a means of payment, like a card. Credit itself is\nalways bought from Padli, under either arrangement in section 4.\u003C\u002Fp>\n\u003Ch3>5.6. Credit at a Venue\u003C\u002Fh3>\n\u003Cp>\u003Cstrong>Credit is money we hold for you at one Venue.\u003C\u002Fstrong> It is not a discount, not a subscription\nand not a means of payment outside the Platform. A balance exists separately for each Venue,\nis shown in your account together with the history of every movement into and out of it, and\nis expressed in Macedonian denars.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>How Credit arises.\u003C\u002Fstrong> Credit reaches your balance in three ways: you \u003Cstrong>buy\u003C\u002Fstrong> it (a\n\u003Cem>top-up\u003C\u002Fem>); you \u003Cstrong>choose to take a cancellation refund as Credit\u003C\u002Fstrong> instead of a return to\nyour card; or we \u003Cstrong>grant\u003C\u002Fstrong> it to you, as a promotional bonus or as a correction made by our\nsupport team.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Where it may be used.\u003C\u002Fstrong> Credit is valid \u003Cstrong>only at the Venue where it stands\u003C\u002Fstrong>, and only to\npay for bookings at that Venue. It cannot be moved to another Venue, transferred to another\nperson, or paid out in cash. The only way money leaves a balance other than by paying for a\nbooking is the return of a recent top-up to the card that paid for it, described below. Using it is your choice at each\npayment: we never apply Credit unless you ask us to.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Buying Credit.\u003C\u002Fstrong> A top-up is charged to your card immediately and in full, and is added to\nyour balance at once. The smallest and largest amounts permitted for a single top-up are\nshown on the top-up screen. Value added tax is accounted for at that moment (section 5.5).\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Getting a top-up back.\u003C\u002Fstrong> You may ask for a top-up to be returned to the card that paid for\nit \u003Cstrong>within 24 hours of the purchase, and only for as long as none of that balance has been\nused since\u003C\u002Fstrong>. Within those limits we return the full amount and reduce your balance by the\nsame amount. Outside them — after 24 hours, or once any of the money has been spent — a\ntop-up is final. Where the top-up earned Bonus credit, that bonus is removed at the same\ntime.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Bonus credit expires; your own money does not.\u003C\u002Fstrong> Where a promotion grants you Credit you\ndid not pay for, that bonus carries an \u003Cstrong>expiry date\u003C\u002Fstrong>, which is stated in the offer before\nyou accept it and shown on your balance afterwards. Credit that you bought, Credit that came\nfrom a refund and Credit granted as a correction \u003Cstrong>never expire\u003C\u002Fstrong>. Every payment draws down\nthe expiring part of your balance first, so Bonus credit is always used before money that\nkeeps. Where a further bonus arrives while an earlier one is still live, the later date\napplies to both. Bonus credit that reaches its date is removed from your balance, and the\nremoval is recorded in your balance history.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Credit is not an outstanding balance.\u003C\u002Fstrong> Credit is money standing in your favour at one\nVenue; an outstanding balance (section 6.4) is money you owe us. The two are separate:\nCredit is not applied against a debt, and a debt is settled by card.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>On deletion of your account, any remaining Credit is forfeited\u003C\u002Fstrong> — including Credit you\npaid for. We show you the amount before you confirm (section 23). If you wish to have a\ntop-up back and are still within the limits above, ask for it before you delete the account.\u003C\u002Fp>\n\u003Ch3>5.7. Promo codes\u003C\u002Fh3>\n\u003Cp>A promo code reduces what you pay for \u003Cstrong>one Booking, at the moment you pay for it\u003C\u002Fstrong>. It\ncreates no balance: where a code would be worth more than the Booking, the remainder is not\ncarried over and is not paid out. The discount is borne by Padli — the Venue receives its\nCourt price in full.\u003C\u002Fp>\n\u003Cp>A code may be limited in any of the following ways, and the applicable limits are stated\nwherever the code is published: a period of validity; a single Venue; a number of uses per\nplayer (as a rule, one) and a total number of uses across all players; and use on your first\nBooking only. A code that is not valid for your Booking is refused with the reason, and\nnothing is used up.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>A promo code cannot be combined with Credit\u003C\u002Fstrong> on the same Booking.\u003C\u002Fp>\n\u003Cp>We may end a promotion at any time. Ending it never affects a discount already applied to a\nBooking you have made. Codes are for your personal use: publishing a code as advertising,\ndistributing it in bulk, or using several accounts to redeem the same code repeatedly is\nprohibited (section 18), and we may refuse or reverse a discount obtained in that way.\u003C\u002Fp>\n\u003Cp>Where a discounted Booking is cancelled, you are refunded on the basis of \u003Cstrong>what you actually\npaid\u003C\u002Fstrong>. The discount itself is not returned to you as money, and where a cancellation fee is\ndue it is calculated without the discount.\u003C\u002Fp>\n\u003Ch3>5.8. Bookings a Venue makes for you\u003C\u002Fh3>\n\u003Cp>A Venue may create a Booking for you at its own desk — over the telephone, or while you are\nstanding at the counter — using the contact detail you give it. Where that detail matches\nyour Padli account, the Booking appears in your account like any other and you are its\nOrganiser (section 6.4).\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Such a Booking is paid at the Venue by default.\u003C\u002Fstrong> Padli collects nothing for it, and \u003Cstrong>no\nService fee is charged\u003C\u002Fstrong> on it.\u003C\u002Fp>\n\u003Cp>A Venue may \u003Cstrong>ask\u003C\u002Fstrong> that it be collected through the Platform instead. That request appears\nin your account and is yours alone to answer:\u003C\u002Fp>\n\u003Cul>\n\u003Cli>if you \u003Cstrong>accept\u003C\u002Fstrong>, the Booking is collected like any other and your card is charged after\nthe match (section 6.3);\u003C\u002Fli>\n\u003Cli>if you \u003Cstrong>decline\u003C\u002Fstrong> — or if you simply do nothing — you pay the Venue at its desk. Your\ncourt is booked either way;\u003C\u002Fli>\n\u003Cli>a request can no longer be accepted once the match has started.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Cp>\u003Cstrong>We do not charge you for a Booking you did not make yourself unless you have agreed to\nit.\u003C\u002Fstrong> If a Venue enters your details for a Booking that is not yours, decline the request and\nwrite to us at \u003Ca href=\"mailto:hey@padli.app\">hey@padli.app\u003C\u002Fa>.\u003C\u002Fp>\n\u003Ch2>6. Shared bookings, invitations and splitting the payment\u003C\u002Fh2>\n\u003Ch3>6.1. Seats and invitations\u003C\u002Fh3>\n\u003Cp>A Booking has as many Seats as its format requires. As Organiser you may invite other\nplayers to the free Seats — from your connections, from your phone contacts, by a shared\nlink, or by phone number or e-mail address. An invited player may accept or decline.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Accepting an invitation does not charge anything at that moment.\u003C\u002Fstrong> It reserves the Seat\nand the obligation to pay for it.\u003C\u002Fp>\n\u003Ch3>6.2. Guests\u003C\u002Fh3>\n\u003Cp>You may fill a Seat with a \u003Cstrong>Guest\u003C\u002Fstrong> — a person who has no Padli account — by entering\ntheir name and, optionally, a contact detail. A Guest cannot pay through the Platform;\ntheir Seat is paid by the Organiser (section 6.4). You confirm that you have the Guest&#39;s\nagreement to name them, and you are responsible for their conduct at the Venue.\u003C\u002Fp>\n\u003Cp>Guests are never named publicly on the Platform. They appear only to the people in the\nsame Booking.\u003C\u002Fp>\n\u003Ch3>6.3. When money is actually taken\u003C\u002Fh3>\n\u003Cp>Padli settles a shared Booking \u003Cstrong>after the match has been played\u003C\u002Fstrong> — two hours after the\nscheduled end time. Until that moment:\u003C\u002Fp>\n\u003Cul>\n\u003Cli>each Participant may pay their own share at any time;\u003C\u002Fli>\n\u003Cli>amounts may be held (pre-authorised) on a card without being taken.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Cp>At settlement, each accepted Participant&#39;s card is charged for their share, and the\nOrganiser&#39;s card is charged for everything that remains unpaid. Because settlement happens\nafter the match, \u003Cstrong>a Booking cancelled beforehand was, as a rule, never charged and\ntherefore needs no refund.\u003C\u002Fstrong>\u003C\u002Fp>\n\u003Ch3>6.4. The Organiser is the backstop\u003C\u002Fh3>\n\u003Cp>The Organiser guarantees the whole Booking. At settlement, the Organiser&#39;s card is charged\nfor:\u003C\u002Fp>\n\u003Cul>\n\u003Cli>their own Seat, if not already paid;\u003C\u002Fli>\n\u003Cli>every Seat whose Participant declined, has no valid card, or failed to pay;\u003C\u002Fli>\n\u003Cli>every Guest Seat;\u003C\u002Fli>\n\u003Cli>every Seat that remained unfilled.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Cp>If the Organiser&#39;s card cannot cover the amount, the shortfall is recorded as an\n\u003Cstrong>outstanding balance\u003C\u002Fstrong> on the Organiser&#39;s account (a debt to Padli). The match goes ahead\nregardless. An outstanding balance blocks new bookings and blocks deletion of the account\nuntil it is settled. Settling other players&#39; shares between yourselves is a matter between\nyou; Padli&#39;s claim is against the Organiser.\u003C\u002Fp>\n\u003Ch3>6.5. &quot;I&#39;ll cover everyone&quot;\u003C\u002Fh3>\n\u003Cp>The Organiser may choose to pay for the whole Booking. This choice is stored on the\nBooking and governs \u003Cstrong>who is asked to pay\u003C\u002Fstrong> — it does not change the total or how the\namounts are calculated. A declined card does not silently turn a covered Booking back into\na split one.\u003C\u002Fp>\n\u003Ch2>7. Open matches\u003C\u002Fh2>\n\u003Cp>The Organiser may make the unfilled Seats of a Booking publicly visible, so that players\nwho are not known to them can join. A Seat taken from a public listing is treated\ndifferently from an invited Seat: while such a Seat is occupied, the Booking can no longer\nbe made private again.\u003C\u002Fp>\n\u003Cp>When publishing the Seats, the Organiser may set \u003Cstrong>conditions on who may take them\u003C\u002Fstrong> — a\nrange of player levels, and a rule about gender. Those conditions are shown on the listing\nand are enforced when a Seat is taken: where your level, or the gender stated on your\nprofile, falls outside them, the Seat is not available to you, and where you have stated\nneither, a Seat carrying such a condition cannot be taken at all. The conditions are the\nOrganiser&#39;s choice; Padli neither sets them nor verifies the statements they are checked\nagainst.\u003C\u002Fp>\n\u003Cp>Where you join an open match, you are joining a match organised by another player at a\nVenue&#39;s court. Padli does not select, vet or vouch for the other participants. Section 22\napplies.\u003C\u002Fp>\n\u003Ch2>8. Cancellations and refunds\u003C\u002Fh2>\n\u003Cp>Cancellation rights, refund percentages, the grace window for a booking made by mistake,\nthe treatment of the service fee, and the way refunds are paid out are set out in full in\nthe \u003Cstrong>Refund and Cancellation Policy\u003C\u002Fstrong>, which forms part of these Terms.\u003C\u002Fp>\n\u003Cp>In summary: each Venue sets its own cancellation policy as a ladder of deadlines\n(&quot;cancel at least N hours before the start → receive P% back&quot;); a Booking cancelled very\nshortly after it was made is fully refunded under a separate grace window; and a refund is\nreturned to the card that was charged, unless you choose instead to take it as \u003Cstrong>Credit at\nthat Venue\u003C\u002Fstrong> (section 5.6). That choice is yours alone and applies only to your own money —\nit is never made for you, and never for what another Participant paid.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>A Booking cannot be moved.\u003C\u002Fstrong> The Platform offers no way to change the date, time, court or\nduration of a Booking once it is made. To play at a different time you cancel the Booking —\nunder the policy that applies to it — and make a new one. If the change is one the Venue is\nwilling to accommodate, speak to the Venue directly.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Where the Venue cancels\u003C\u002Fstrong>, for whatever reason on its side, you receive the full amount\nback, including the Service fee, however close to the start the cancellation occurs. The\nsame applies where Padli cancels for a reason attributable to us. We will notify you as soon\nas we know.\u003C\u002Fp>\n\u003Cp>A Venue may also \u003Cstrong>take a court off the market\u003C\u002Fstrong> for a period — for maintenance, a\ntournament, an academy, a private event or bad weather. As a rule this concerns time that is\nnot yet booked, and it simply does not appear as available. Where it affects a Booking you\nhave already made, the Venue cancels that Booking and the paragraph above applies to you in\nfull.\u003C\u002Fp>\n\u003Ch2>9. Check-in, late arrival and no-shows\u003C\u002Fh2>\n\u003Cp>Where a Venue uses check-in, you may confirm your arrival through the Platform. Turning up\nlate shortens your playing time — the Court is released at the end of the booked slot, and\nno part of the price is refunded for time not used.\u003C\u002Fp>\n\u003Cp>Not turning up at all is a \u003Cstrong>no-show\u003C\u002Fstrong>. A no-show is a completed Booking for payment\npurposes: the money is due in full. Repeated no-shows may lead to a restriction of your\naccount (section 23) and are dealt with in the Community Guidelines.\u003C\u002Fp>\n\u003Ch2>10. Conduct\u003C\u002Fh2>\n\u003Cp>By using the Platform you undertake to follow the \u003Cstrong>Community Guidelines\u003C\u002Fstrong> — punctuality,\npaying your share, honesty about results and level, respect for the Venue&#39;s rules and for\nthe other players. Serious or repeated breaches lead to the measures in section 23.\u003C\u002Fp>\n\u003Ch2>11. Player level and rating\u003C\u002Fh2>\n\u003Cp>Padli assigns each player a \u003Cstrong>level\u003C\u002Fstrong> on a scale from 0 to 7, together with an indication\nof how reliable that level currently is (a confidence band that narrows as you play more\nmatches).\u003C\u002Fp>\n\u003Cul>\n\u003Cli>Your starting level comes from a short questionnaire you complete yourself, or from\nyour first matches.\u003C\u002Fli>\n\u003Cli>After that, the level moves on the basis of \u003Cstrong>confirmed results of matches marked as\ncompetitive\u003C\u002Fstrong>.\u003C\u002Fli>\n\u003Cli>Whether a match counts as competitive is decided before it is played. It can be changed\nup to the moment the match starts, and is frozen from then on. It is never decided after\nthe result is known.\u003C\u002Fli>\n\u003Cli>You may \u003Cstrong>lower\u003C\u002Fstrong> your own level yourself. This is deliberate and irreversible: it can\nonly be raised again by playing matches.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Cp>Within the Platform, your level may also decide which matches are open to you: an Organiser\npublishing an open match may restrict it to a range of levels (section 7), and a Seat so\nrestricted cannot be taken by a player outside that range or by a player who has no level\nyet.\u003C\u002Fp>\n\u003Cp>The level is an internal classification created to match players of similar strength. \u003Cstrong>It\nis not an official rating, it is not issued by any federation, and it carries no meaning\noutside the Platform.\u003C\u002Fstrong> We do not guarantee that it accurately reflects your ability, and\nyou may not present it as an official qualification.\u003C\u002Fp>\n\u003Cp>Manipulating the level — deliberately losing, entering false results, playing under\nanother person&#39;s account, or creating a second account to obtain a different level — is\nprohibited and is grounds for a restriction (section 18).\u003C\u002Fp>\n\u003Ch2>12. Match results\u003C\u002Fh2>\n\u003Cp>After a match, the participants may enter the result.\u003C\u002Fp>\n\u003Cul>\n\u003Cli>Any participant may enter a score; the others are asked to confirm it.\u003C\u002Fli>\n\u003Cli>A participant who disagrees may propose a different score, which the others are then\nasked to confirm in turn.\u003C\u002Fli>\n\u003Cli>A proposed result that nobody contests is \u003Cstrong>automatically confirmed after 24 hours\u003C\u002Fstrong>.\u003C\u002Fli>\n\u003Cli>Scores are validated against the rules of the sport and format that was played.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Cp>A participant who was never actually in the match may state so, which removes them from\nthe result. Because that statement can invalidate the whole result, it is recorded with\nits author and may be contested by the person who holds the Seat.\u003C\u002Fp>\n\u003Cp>Results are used for your match history, for the level (where the match was competitive)\nand for the leaderboards.\u003C\u002Fp>\n\u003Ch2>13. Match history and tagging\u003C\u002Fh2>\n\u003Cp>You may record who you played with after a match. Where the person you tag is a Padli\nuser, the tag is a \u003Cstrong>request\u003C\u002Fstrong>: it appears in their account and takes effect only if they\naccept it. Silence is not consent — an unanswered tag request does not attach to their\nhistory.\u003C\u002Fp>\n\u003Ch2>14. Leaderboards and ranking points\u003C\u002Fh2>\n\u003Cp>Padli maintains leaderboards for each Venue and one platform-wide leaderboard. Positions\nare calculated from \u003Cstrong>points earned by playing and by results\u003C\u002Fstrong>, accumulate over time and\nare not reset. Points already awarded are recorded permanently and are not recalculated\nretroactively.\u003C\u002Fp>\n\u003Cp>Appearing on a Venue&#39;s player list is optional and can be switched off in your profile\nsettings.\u003C\u002Fp>\n\u003Cp>Achievements and badges shown in your profile are derived from your own activity on the\nPlatform and have no monetary value.\u003C\u002Fp>\n\u003Ch2>15. Profiles, connections and visibility\u003C\u002Fh2>\n\u003Cul>\n\u003Cli>You may \u003Cstrong>follow\u003C\u002Fstrong> other players. Following is one-directional and \u003Cstrong>takes effect\nimmediately — it does not require the other person&#39;s approval\u003C\u002Fstrong>, and this is so whether or\nnot their profile is private. Anyone may therefore follow you without asking.\u003C\u002Fli>\n\u003Cli>Your \u003Cstrong>profile\u003C\u002Fstrong> may show your name, profile picture, biography, level, playing\npreferences, statistics and match history, and your followers and the people you follow.\u003C\u002Fli>\n\u003Cli>You may set your profile to \u003Cstrong>private\u003C\u002Fstrong>. A private profile shows only your name and\nprofile picture to people who do not follow you — your biography, playing preferences,\nstatistics, match history and follower lists are hidden from them. \u003Cstrong>You remain findable\nin search, and people can still follow you\u003C\u002Fstrong>; what changes is how much they see.\u003C\u002Fli>\n\u003Cli>You may switch off your appearance on Venue player lists.\u003C\u002Fli>\n\u003Cli>You may \u003Cstrong>block\u003C\u002Fstrong> another user. A block is mutually invisible: the two of you disappear\nfrom each other&#39;s profiles, searches, lists and suggestions, and any follow between you\nis severed. Unblocking does not restore the previous follows.\u003C\u002Fli>\n\u003Cli>A Venue&#39;s public &quot;recent results&quot; feed shows matches played at that Venue. Players whose\nvisibility settings do not allow it are masked rather than named, and \u003Cstrong>Guests are never\nnamed\u003C\u002Fstrong>.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Ch2>16. Invite codes\u003C\u002Fh2>\n\u003Cp>Every player has a permanent personal invite code and a link that carries it. A person who\ncreates an account through your code is connected to you automatically. Invite codes must\nnot be published as advertising, distributed in bulk, or used in any scheme that rewards\nmass registration.\u003C\u002Fp>\n\u003Ch2>17. Content you provide\u003C\u002Fh2>\n\u003Cp>You retain your rights in the content you upload (profile picture, biography, names of\nguests you enter, results you record). By uploading it you grant Padli a non-exclusive,\nroyalty-free right to store it, display it within the Platform to the users entitled to\nsee it, and reproduce it as technically necessary to operate the service.\u003C\u002Fp>\n\u003Cp>You warrant that you have the right to the content you upload, that a profile picture\ndoes not infringe anyone else&#39;s rights, and that you have the agreement of any person\nwhose name or contact detail you enter.\u003C\u002Fp>\n\u003Ch2>18. Prohibited activities\u003C\u002Fh2>\n\u003Cp>It is prohibited to:\u003C\u002Fp>\n\u003Cul>\n\u003Cli>provide false identification data or use another person&#39;s identity;\u003C\u002Fli>\n\u003Cli>create more than one account, or create an account to circumvent a block, a\nrestriction, an outstanding balance or a level;\u003C\u002Fli>\n\u003Cli>enter false match results, or manipulate the level or the leaderboards in any way;\u003C\u002Fli>\n\u003Cli>book courts with no intention of using them, book in bulk in order to resell slots, or\notherwise trade in bookings;\u003C\u002Fli>\n\u003Cli>add a person as a Guest, or enter their contact details, without their agreement;\u003C\u002Fli>\n\u003Cli>harass, insult, threaten or discriminate against other users, Venue staff or our\nemployees;\u003C\u002Fli>\n\u003Cli>upload unlawful, offensive, violent or sexually explicit content, or content protected\nby someone else&#39;s rights;\u003C\u002Fli>\n\u003Cli>use automated tools (bots, scrapers, crawlers) to access, copy or monitor the Platform;\u003C\u002Fli>\n\u003Cli>attempt to access parts of the Platform, other users&#39; data, or the Venue and\nadministrator consoles without authorisation;\u003C\u002Fli>\n\u003Cli>interfere with the operation, integrity or security of the Platform;\u003C\u002Fli>\n\u003Cli>use the Platform for any purpose that is unlawful or contrary to these Terms.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Ch2>19. Notifications and communication\u003C\u002Fh2>\n\u003Cp>To operate the service we send you \u003Cstrong>transactional messages\u003C\u002Fstrong> — booking confirmations,\ninvitations and responses to them, payment and refund notifications, reminders before a\nmatch, requests to confirm a result, and security notices. These are part of the service\nand are not promotional.\u003C\u002Fp>\n\u003Cp>Depending on your settings and your device, they may reach you as an in-app notification, a\npush notification, an e-mail or an SMS. SMS is used for the messages that must reach you even\nwhen the application is not installed or not open: your sign-in code, booking invitations and\nthe responses to them, reminders that a payment is due, a Venue&#39;s request to collect a\nBooking through the Platform (section 5.8), and confirmation of a change to your telephone\nnumber or e-mail address.\u003C\u002Fp>\n\u003Cp>In your notification settings you can switch each \u003Cstrong>category\u003C\u002Fstrong> (bookings, reminders,\ninvitations, payments, social activity, achievements, and account notices) on or off for\neach \u003Cstrong>channel\u003C\u002Fstrong> (push, e-mail, SMS) independently. Everything is on by default. Two\nexceptions:\u003C\u002Fp>\n\u003Cul>\n\u003Cli>the \u003Cstrong>in-app notification centre always keeps the record\u003C\u002Fstrong>, whichever channels you switch\noff, so that nothing that concerns your booking is lost; and\u003C\u002Fli>\n\u003Cli>\u003Cstrong>payment messages by e-mail cannot be switched off\u003C\u002Fstrong>, because they carry your receipts\nand we are obliged to issue those.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Cp>Booking confirmation e-mails contain a calendar invitation so the match can be added to\nyour calendar. On iOS, a Live Activity may show a countdown to your match and the live\nscore on the lock screen. A booking may be added to Apple Wallet or Google Wallet as a\npass, which updates if the booking changes.\u003C\u002Fp>\n\u003Cp>Marketing messages are a separate matter and are \u003Cstrong>never on by default\u003C\u002Fstrong>. They are sent\nonly where you switch them on yourself in your account settings, and switching them off\nwithdraws that consent immediately and for the future.\u003C\u002Fp>\n\u003Cp>We may also contact a \u003Cstrong>person who is not a Padli user\u003C\u002Fstrong> when you invite them to a match,\nusing the contact detail you provided, in order to deliver that invitation. Such messages\nare strictly limited, are subject to a daily cap, and a recipient who opts out is never\ncontacted again.\u003C\u002Fp>\n\u003Ch2>20. Venues and their rules\u003C\u002Fh2>\n\u003Cp>Each Venue sets its own house rules — equipment, footwear, access, guests, minors,\nlighting, use of changing rooms. You must follow them. A Venue may refuse access to a\nperson who does not comply, and Padli has no power to override that decision.\u003C\u002Fp>\n\u003Cp>Any complaint about the court, the facility, the equipment or the staff should be raised\nwith the Venue first. We will assist where we can, but the Venue is responsible for the\nservice it provides.\u003C\u002Fp>\n\u003Ch2>21. Intellectual property\u003C\u002Fh2>\n\u003Cp>All content of the Platform — software, source code, design, layout, graphics,\nillustrations, icons, texts and the &quot;Padli&quot; name and logo — is the property of VORTEK\nINOVATIONS or of its licensors and is protected by the applicable copyright and industrial\nproperty legislation.\u003C\u002Fp>\n\u003Cp>Use of the Platform grants you a limited, personal, non-transferable and revocable licence\nto use it for its intended purpose. It does not transfer any right of ownership.\nReproduction, distribution, modification or public communication of the content of the\nPlatform without our prior written consent is prohibited.\u003C\u002Fp>\n\u003Ch2>22. Liability\u003C\u002Fh2>\n\u003Cp>VORTEK INOVATIONS bears no responsibility for the sporting service itself. The Venue is\nresponsible for the court, its condition and safety, its equipment and its facilities, and\nfor compliance with its own obligations towards you.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>You play at your own risk.\u003C\u002Fstrong> Padel is a physical sport. Padli is not responsible for\ninjury, illness, damage to or loss of personal property sustained before, during or after\na match, save where such liability cannot be excluded under mandatory law.\u003C\u002Fp>\n\u003Cp>Padli is not responsible for the conduct of other users, whether they are people you\ninvited or people who joined an open match, nor for any arrangement, payment or dispute\nbetween you and them.\u003C\u002Fp>\n\u003Cp>We do not guarantee the accuracy, completeness or timeliness of information published by\nVenues (prices, opening hours, court characteristics, amenities and photographs), which is\nentered and maintained by the Venues themselves.\u003C\u002Fp>\n\u003Cp>We will make reasonable efforts to ensure the uninterrupted availability of the Platform.\nHowever, we do not guarantee that it will be available without interruptions, errors or\ntechnical issues, and we bear no responsibility for damage arising from temporary\nunavailability, technical failure, or the failure of a third-party service (payment\nprocessing, push delivery, e-mail or SMS delivery).\u003C\u002Fp>\n\u003Cp>Nothing in these Terms excludes or limits liability that cannot be excluded or limited\nunder the mandatory legislation of the Republic of North Macedonia, including your rights\nas a consumer.\u003C\u002Fp>\n\u003Ch2>23. Suspension, termination and deletion of the account\u003C\u002Fh2>\n\u003Cp>You may stop using the Platform at any time and may delete your account from your account\nsettings.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>Deletion is irreversible.\u003C\u002Fstrong> Before deletion is carried out we show you what it entails.\nDeletion is not possible while you have an outstanding balance; any \u003Cstrong>Credit\u003C\u002Fstrong> standing at\nany Venue is forfeited on deletion — \u003Cstrong>including Credit you paid for\u003C\u002Fstrong> — and we show you the\namount before you confirm (section 5.6). On deletion, your upcoming\nbookings are cancelled, the Seats you hold in other people&#39;s bookings are released, your\npersonal data is anonymised and your account is closed. Financial and audit records that\nwe are required to keep are retained in accordance with the Privacy Policy.\u003C\u002Fp>\n\u003Cp>We may suspend or terminate your access — temporarily or permanently — where you breach\nthese Terms or the Community Guidelines, where you have an unsettled debt, where there is\nreasonable suspicion of fraud or manipulation, or where required by a competent authority.\nWhere the breach is not serious, we will normally warn you first.\u003C\u002Fp>\n\u003Ch2>24. Personal data protection\u003C\u002Fh2>\n\u003Cp>We process personal data in accordance with the Law on Personal Data Protection of the\nRepublic of North Macedonia and the General Data Protection Regulation. What we collect,\nwhy, on what legal basis, with whom we share it and how long we keep it is set out in the\n\u003Cstrong>Privacy Policy\u003C\u002Fstrong> and the \u003Cstrong>Cookie Policy\u003C\u002Fstrong>.\u003C\u002Fp>\n\u003Ch2>25. Changes to these Terms\u003C\u002Fh2>\n\u003Cp>We may amend these Terms at any time — for example when the service changes, or when\nlegislation requires it. The amended Terms take effect upon publication on the Platform,\nunless a later date is stated. Where a change materially affects your rights, we will\nnotify you in advance by a reasonable means. Continued use of the Platform after the\nchange takes effect constitutes acceptance of the amended Terms.\u003C\u002Fp>\n\u003Cp>Changes never apply retroactively to a Booking already made: the price, the service fee,\nthe cancellation policy and the grace window frozen onto that Booking continue to govern\nit.\u003C\u002Fp>\n\u003Ch2>26. General provisions\u003C\u002Fh2>\n\u003Cp>\u003Cstrong>26.1. Severability.\u003C\u002Fstrong> If any provision of these Terms is held to be invalid, unlawful or\nunenforceable, that provision is deemed deleted to the minimum extent necessary and the\nremaining provisions continue in full force.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>26.2. No waiver.\u003C\u002Fstrong> If we do not insist on the strict performance of any provision, or do\nnot exercise a right available to us, that is not a waiver of that provision or right, and\ndoes not prevent us from relying on it later.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>26.3. Entire agreement.\u003C\u002Fstrong> These Terms, together with the Privacy Policy, the Cookie\nPolicy, the Refund and Cancellation Policy and the Community Guidelines, constitute the\nentire agreement between you and Padli in respect of the Platform, and supersede any earlier\nunderstanding on the same subject. This does not exclude liability for a statement made\nfraudulently.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>26.4. Assignment.\u003C\u002Fstrong> You may not transfer your account or your rights under these Terms to\nanother person. We may transfer our rights and obligations under these Terms to another\nentity — for example in a restructuring, a merger or a sale of the business — provided this\ndoes not reduce your rights. We will notify you before it takes effect.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>26.5. Force majeure.\u003C\u002Fstrong> Neither party is liable for a failure or delay in performance caused\nby circumstances beyond its reasonable control — including natural disasters, extreme\nweather, fire, flood, epidemic, war, acts of terrorism, civil unrest, strikes, failure of\npublic telecommunications or power networks, or an act of a public authority. Where such an\nevent prevents a match from being played, the money is returned to you.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>26.6. Third-party content.\u003C\u002Fstrong> The Platform contains links to and content from third parties\n(among others, a Venue&#39;s own website, and maps). We do not control them, we do not endorse\nthem, and we are not responsible for their content or their practices. Their use is governed\nby their own terms.\u003C\u002Fp>\n\u003Cp>\u003Cstrong>26.7. Language.\u003C\u002Fstrong> These Terms may be published in several languages. \u003Cstrong>In the event of a\ndiscrepancy between the language versions, the English version prevails\u003C\u002Fstrong>, save where\nmandatory legislation requires otherwise for consumers in a particular jurisdiction.\u003C\u002Fp>\n\u003Ch2>27. Applicable law and dispute resolution\u003C\u002Fh2>\n\u003Cp>These Terms are interpreted and applied in accordance with the laws of the Republic of\nNorth Macedonia. For all disputes arising from or related to these Terms, the competent\ncourt is the court in Skopje, Republic of North Macedonia.
