1. Who we are and what these Terms cover
Padli is an electronic platform for discovering padel venues, booking courts, organising matches and paying for them. The Platform is owned and operated by VORTEK INOVATIONS D.O.O. Skopje, a trade and services company with its registered office at Njudehliska 6/1-13, Karposh, Skopje, Republic of North Macedonia, EMBS 7757832, TAX ID MK4057024570335, a VAT payer (in these Terms: "Padli", "we", "us").
These General Terms of Use (the "Terms") govern your access to and use of the Platform as a player. They form a binding agreement between you and Padli from the moment you create a user account or make a booking.
Venues that list their courts on Padli are governed by a separate agreement — the Venue Partner Terms — not by this document.
The following documents form an integral part of these Terms and apply together with them:
- the Privacy Policy, at www.padli.app/privacy-policy;
- the Cookie Policy, at www.padli.app/cookie-policy;
- the Refund and Cancellation Policy, at www.padli.app/refund-policy;
- the Community Guidelines, at www.padli.app/community-guidelines.
If you do not accept these Terms, please do not use the Platform.
2. Definitions
For the purposes of these Terms, the following terms have the meanings stated:
- Platform — the electronic platform www.padli.app, including the web version and the Padli mobile applications for iOS and Android.
- User (or Player) — any natural person registered on the Platform who uses its services.
- Visitor — any person who accesses the Platform without being registered.
- Venue — a padel club or sports facility whose courts are offered for booking on the Platform.
- Court — an individual playing court belonging to a Venue.
- Booking — a reservation of a Court for a defined date, start time and duration.
- Seat — one player's place in a Booking. The number of seats is determined by the format of the booked Court (for example, four seats for padel doubles).
- Participant — a User or Guest who occupies a Seat in a Booking.
- Guest — a person named in a Booking by a Participant who does not have a Padli account.
- Organiser — the User who created the Booking and who is responsible for it.
- Open match — a Booking whose unfilled Seats have been made publicly joinable by the Organiser.
- Court price — the amount charged by the Venue for the use of the Court.
- Service fee — the fee charged by Padli to the player for the use of the Platform, shown separately and added on top of the Court price.
- Credit — a balance of money that Padli holds in your name at one particular Venue and that you may use to pay for bookings at that Venue (section 5.6).
- Bonus credit — Credit granted to you under a promotion, which you did not pay for and which carries an expiry date.
- Promo code — a code that reduces what you pay for a single Booking at the moment of payment (section 5.7).
- Venue-made booking — a Booking created for you by a Venue at its own desk (section 5.8).
3. Registration and user account
3.1. Age, legal capacity and minors
To open an account and to pay through the Platform you must be at least 18 years of age and have full legal capacity to enter into contracts. By registering, you confirm that this is so.
A person under 18 may use the Platform only with the consent and under the supervision of a parent or legal guardian, and only from the age of 14 — the age from which the legislation of the Republic of North Macedonia permits a minor to consent to the processing of their personal data in relation to services offered online. Where a minor uses the Platform:
- the parent or legal guardian accepts these Terms on their behalf and is bound by them;
- the parent or legal guardian is responsible for payment for every booking made, and for the minor's conduct at the Venue and towards other players;
- the parent or legal guardian is responsible for supervising which matches the minor takes part in, including matches published as open matches, which strangers may join.
We do not permit accounts for persons under 14 years of age.
The simplest route for a junior player remains to take part as a Guest named by an adult account holder (section 6.2), who is responsible for them and pays for their Seat. This requires no account.
We may request proof of age, or proof of the consent of a parent or legal guardian, at any time, and may restrict, suspend or close an account where age or consent cannot be established. We do not assume liability for false statements of age made to us.
If you believe that a person under 14 holds an account, or that a minor is using the Platform without the consent of their parent or guardian, please write to us at hey@padli.app and we will act on it.
3.2. Registration and sign-in
A player account is created with a phone number or an e-mail address, confirmed by a one-time code (OTP) sent to you. Padli player accounts do not use passwords.
You may alternatively sign in with Google or Apple. In that case we receive only basic profile information from the provider (name, e-mail address and, where available, a profile picture). We never receive your password with the provider. Where the identifier returned by the provider is already verified and matches an existing Padli account, the two are linked automatically.
Accounts for Venue staff and for platform administrators are separate, are protected by a password, and are governed by the Venue Partner Terms. A player session can never be used to access a Venue or administrator console.
3.3. Accuracy of your data
You enter your first and last name, and optionally a date of birth, gender, profile picture, short biography and playing preferences. You are responsible for the accuracy of the data you enter. Other players see the parts of it described in section 15.
3.4. Account security
Your session is kept in a secure cookie that JavaScript cannot read and that expires. You must not share access to your account, and you must notify us at hey@padli.app if you believe someone else has gained access to it. You may sign out of the Platform at any time.
Your account settings list every device currently signed in to your account — the device and application, when it was last used, and the network address it connected from — and you may sign any of them out remotely. If you do not recognise a device, sign it out and write to us at hey@padli.app.
One account belongs to one natural person. Creating multiple accounts in order to circumvent a restriction, a debt, a block or a level is prohibited (section 18).
4. What Padli is, and what it is not
Padli is a booking and organisation platform. The padel service itself — the court, its condition, its equipment, its lighting, its changing rooms and everything else that happens at the facility — is provided by the Venue, not by Padli.
Who sells you the Court depends on the Venue. For most Venues, Padli acts as the seller of record: your card is charged in Padli's name, Padli issues you the receipt for the full amount, and Padli settles with the Venue separately — that receipt names both Padli (as seller) and the Venue (as the merchant that actually rendered the service). Where a Venue's operating company sells through Padli as its agent, that company is the seller of the Court and Padli only collects the payment in its name and on its behalf; what Padli sells you is the Service fee, and the documents you receive are split accordingly (section 5.5).
Either way you pay one amount, with one card, through Padli. Which arrangement applies is stated at checkout before you pay and is fixed for that Booking when you make it, so a later change never alters a Booking already made. Neither arrangement makes Padli the provider of the sporting service.
Padli does not organise your match, does not vouch for the other players in it, and is not a party to any arrangement you make with them.
5. Booking a court
5.1. Availability and prices
Availability, opening hours, court types, playing formats, permitted durations and prices are set by each Venue and may change at any time. The price shown at the moment of booking is the price that applies to that Booking; a later price change by the Venue does not affect a Booking already made.
A Court may offer more than one playing format (for example, singles and doubles). Where it does, the format you choose determines how many Seats the Booking has and therefore how the price is divided.
5.2. Confirmation
A Booking exists only once it is confirmed by the Platform and shown in your account. Until then the slot is not held for you. If two players attempt to take the same slot, the Booking that is completed first prevails.
5.3. What you pay
The total shown before you confirm consists of:
- the Court price set by the Venue, and
- the Service fee charged by Padli, calculated as a percentage of the Court price and displayed separately before payment.
Where a promotional service-fee rate is running, the standard rate is shown struck through beside it. Both rates and both amounts are frozen onto your Booking at the moment it is created, so a later change to either rate never affects a Booking already made.
From that total may be deducted:
- a Promo code discount, where you enter a code that is valid for the Booking (section 5.7); and
- your Credit at that Venue, where you choose to use it (section 5.6).
A Promo code and Credit cannot be used on the same Booking — you choose one. Whatever remains after the deduction is the amount your card is charged; where Credit covers the whole amount, no card is charged at all.
All amounts are shown and charged in Macedonian denars (MKD) and are rounded to whole denars.
5.4. Payment
Payments on the Platform are made by payment card (VISA or MasterCard). All transactions are processed through the payment system of Halk Bank AD Skopje, which is certified by VISA and MasterCard. During payment the HTTPS security protocol and Secure Socket Layer (SSL) technology are used to protect data, together with 3-D Secure authentication.
We have no insight whatsoever into your payment card data (full card number, security code or account balance). If you choose to save a card for future bookings, we store only a bank-issued token together with the card brand, the last four digits and the expiry date.
Paying does not always mean the money moves at that moment. Depending on how far ahead the match is, confirming payment may mean one of three things:
- the amount is taken from your card straight away;
- the amount is frozen on your card (a pre-authorisation) and taken after the match; or
- you commit the card — you authorise the exact amount, nothing is frozen yet, and the freeze is placed automatically as the match approaches, because a card reservation made weeks in advance would lapse before it could be used.
In all three cases you have agreed to the amount shown at the moment you confirmed, and the money is finally taken as described in section 6.3. Where you cancel in time, the authorisation is released and nothing is taken; a released reservation may take a few business days to disappear from your statement, which is determined by your bank.
Two payments on the Platform are not payments for a Booking and do not work this way: Credit that you buy is charged to your card immediately and in full (section 5.6), and an outstanding balance that you settle is charged immediately (section 6.4). And where a Booking is paid entirely from Credit, no card is involved at all — nothing is frozen and nothing is taken later.
5.5. Receipts and VAT
For every amount charged, Padli issues an electronic receipt, sent to the e-mail address on your account and available in your account. The rate applied is the statutory rate in force when the Booking was made (18% at the date of these Terms) and it is frozen onto the Booking, so a later change in the statutory rate never re-rates a Booking already made.
Where Padli is the seller of record (section 4), value added tax is calculated on the whole receipt — the Court price and the Service fee alike — and the Venue is printed on the receipt as the merchant that rendered the service, with the legal identity it held at the time of the charge.
Where the Venue's operating company sells and Padli acts as its agent (section 4), the one payment produces two documents, delivered together: an invoice for the Court issued in that company's name, by Padli on its order and under that company's own invoice numbering, and — where a Service fee is charged — Padli's own receipt for that fee. The tax on the Court is that company's to account for and is shown according to its own VAT status, so an invoice from a company outside the VAT system carries no VAT and states why; the tax on the Service fee is Padli's. The amount you pay is the same either way.
Credit is taxed when you spend it, not when you buy it. Buying Credit is a prepayment rather than a purchase of anything in particular: it can be spent at a Venue whose own tax position is not ours to know in advance. So the receipt for a top-up carries no value added tax and says so, and each Booking you then pay for from Credit is taxed in the ordinary way — by whoever sold you that Court, at their rate (section 5.5). Paying from Credit never changes what tax a Booking carries; it is a means of payment, like a card. Credit itself is always bought from Padli, under either arrangement in section 4.
5.6. Credit at a Venue
Credit is money we hold for you at one Venue. It is not a discount, not a subscription and not a means of payment outside the Platform. A balance exists separately for each Venue, is shown in your account together with the history of every movement into and out of it, and is expressed in Macedonian denars.
How Credit arises. Credit reaches your balance in three ways: you buy it (a top-up); you choose to take a cancellation refund as Credit instead of a return to your card; or we grant it to you, as a promotional bonus or as a correction made by our support team.
Where it may be used. Credit is valid only at the Venue where it stands, and only to pay for bookings at that Venue. It cannot be moved to another Venue, transferred to another person, or paid out in cash. The only way money leaves a balance other than by paying for a booking is the return of a recent top-up to the card that paid for it, described below. Using it is your choice at each payment: we never apply Credit unless you ask us to.
Buying Credit. A top-up is charged to your card immediately and in full, and is added to your balance at once. The smallest and largest amounts permitted for a single top-up are shown on the top-up screen. Value added tax is accounted for at that moment (section 5.5).
Getting a top-up back. You may ask for a top-up to be returned to the card that paid for it within 24 hours of the purchase, and only for as long as none of that balance has been used since. Within those limits we return the full amount and reduce your balance by the same amount. Outside them — after 24 hours, or once any of the money has been spent — a top-up is final. Where the top-up earned Bonus credit, that bonus is removed at the same time.
Bonus credit expires; your own money does not. Where a promotion grants you Credit you did not pay for, that bonus carries an expiry date, which is stated in the offer before you accept it and shown on your balance afterwards. Credit that you bought, Credit that came from a refund and Credit granted as a correction never expire. Every payment draws down the expiring part of your balance first, so Bonus credit is always used before money that keeps. Where a further bonus arrives while an earlier one is still live, the later date applies to both. Bonus credit that reaches its date is removed from your balance, and the removal is recorded in your balance history.
Credit is not an outstanding balance. Credit is money standing in your favour at one Venue; an outstanding balance (section 6.4) is money you owe us. The two are separate: Credit is not applied against a debt, and a debt is settled by card.
On deletion of your account, any remaining Credit is forfeited — including Credit you paid for. We show you the amount before you confirm (section 23). If you wish to have a top-up back and are still within the limits above, ask for it before you delete the account.
5.7. Promo codes
A promo code reduces what you pay for one Booking, at the moment you pay for it. It creates no balance: where a code would be worth more than the Booking, the remainder is not carried over and is not paid out. The discount is borne by Padli — the Venue receives its Court price in full.
A code may be limited in any of the following ways, and the applicable limits are stated wherever the code is published: a period of validity; a single Venue; a number of uses per player (as a rule, one) and a total number of uses across all players; and use on your first Booking only. A code that is not valid for your Booking is refused with the reason, and nothing is used up.
A promo code cannot be combined with Credit on the same Booking.
We may end a promotion at any time. Ending it never affects a discount already applied to a Booking you have made. Codes are for your personal use: publishing a code as advertising, distributing it in bulk, or using several accounts to redeem the same code repeatedly is prohibited (section 18), and we may refuse or reverse a discount obtained in that way.
Where a discounted Booking is cancelled, you are refunded on the basis of what you actually paid. The discount itself is not returned to you as money, and where a cancellation fee is due it is calculated without the discount.
5.8. Bookings a Venue makes for you
A Venue may create a Booking for you at its own desk — over the telephone, or while you are standing at the counter — using the contact detail you give it. Where that detail matches your Padli account, the Booking appears in your account like any other and you are its Organiser (section 6.4).
Such a Booking is paid at the Venue by default. Padli collects nothing for it, and no Service fee is charged on it.
A Venue may ask that it be collected through the Platform instead. That request appears in your account and is yours alone to answer:
- if you accept, the Booking is collected like any other and your card is charged after the match (section 6.3);
- if you decline — or if you simply do nothing — you pay the Venue at its desk. Your court is booked either way;
- a request can no longer be accepted once the match has started.
We do not charge you for a Booking you did not make yourself unless you have agreed to it. If a Venue enters your details for a Booking that is not yours, decline the request and write to us at hey@padli.app.
6. Shared bookings, invitations and splitting the payment
6.1. Seats and invitations
A Booking has as many Seats as its format requires. As Organiser you may invite other players to the free Seats — from your connections, from your phone contacts, by a shared link, or by phone number or e-mail address. An invited player may accept or decline.
Accepting an invitation does not charge anything at that moment. It reserves the Seat and the obligation to pay for it.
6.2. Guests
You may fill a Seat with a Guest — a person who has no Padli account — by entering their name and, optionally, a contact detail. A Guest cannot pay through the Platform; their Seat is paid by the Organiser (section 6.4). You confirm that you have the Guest's agreement to name them, and you are responsible for their conduct at the Venue.
Guests are never named publicly on the Platform. They appear only to the people in the same Booking.
6.3. When money is actually taken
Padli settles a shared Booking after the match has been played — two hours after the scheduled end time. Until that moment:
- each Participant may pay their own share at any time;
- amounts may be held (pre-authorised) on a card without being taken.
At settlement, each accepted Participant's card is charged for their share, and the Organiser's card is charged for everything that remains unpaid. Because settlement happens after the match, a Booking cancelled beforehand was, as a rule, never charged and therefore needs no refund.
6.4. The Organiser is the backstop
The Organiser guarantees the whole Booking. At settlement, the Organiser's card is charged for:
- their own Seat, if not already paid;
- every Seat whose Participant declined, has no valid card, or failed to pay;
- every Guest Seat;
- every Seat that remained unfilled.
If the Organiser's card cannot cover the amount, the shortfall is recorded as an outstanding balance on the Organiser's account (a debt to Padli). The match goes ahead regardless. An outstanding balance blocks new bookings and blocks deletion of the account until it is settled. Settling other players' shares between yourselves is a matter between you; Padli's claim is against the Organiser.
6.5. "I'll cover everyone"
The Organiser may choose to pay for the whole Booking. This choice is stored on the Booking and governs who is asked to pay — it does not change the total or how the amounts are calculated. A declined card does not silently turn a covered Booking back into a split one.
7. Open matches
The Organiser may make the unfilled Seats of a Booking publicly visible, so that players who are not known to them can join. A Seat taken from a public listing is treated differently from an invited Seat: while such a Seat is occupied, the Booking can no longer be made private again.
When publishing the Seats, the Organiser may set conditions on who may take them — a range of player levels, and a rule about gender. Those conditions are shown on the listing and are enforced when a Seat is taken: where your level, or the gender stated on your profile, falls outside them, the Seat is not available to you, and where you have stated neither, a Seat carrying such a condition cannot be taken at all. The conditions are the Organiser's choice; Padli neither sets them nor verifies the statements they are checked against.
Where you join an open match, you are joining a match organised by another player at a Venue's court. Padli does not select, vet or vouch for the other participants. Section 22 applies.
8. Cancellations and refunds
Cancellation rights, refund percentages, the grace window for a booking made by mistake, the treatment of the service fee, and the way refunds are paid out are set out in full in the Refund and Cancellation Policy, which forms part of these Terms.
In summary: each Venue sets its own cancellation policy as a ladder of deadlines ("cancel at least N hours before the start → receive P% back"); a Booking cancelled very shortly after it was made is fully refunded under a separate grace window; and a refund is returned to the card that was charged, unless you choose instead to take it as Credit at that Venue (section 5.6). That choice is yours alone and applies only to your own money — it is never made for you, and never for what another Participant paid.
A Booking cannot be moved. The Platform offers no way to change the date, time, court or duration of a Booking once it is made. To play at a different time you cancel the Booking — under the policy that applies to it — and make a new one. If the change is one the Venue is willing to accommodate, speak to the Venue directly.
Where the Venue cancels, for whatever reason on its side, you receive the full amount back, including the Service fee, however close to the start the cancellation occurs. The same applies where Padli cancels for a reason attributable to us. We will notify you as soon as we know.
A Venue may also take a court off the market for a period — for maintenance, a tournament, an academy, a private event or bad weather. As a rule this concerns time that is not yet booked, and it simply does not appear as available. Where it affects a Booking you have already made, the Venue cancels that Booking and the paragraph above applies to you in full.
9. Check-in, late arrival and no-shows
Where a Venue uses check-in, you may confirm your arrival through the Platform. Turning up late shortens your playing time — the Court is released at the end of the booked slot, and no part of the price is refunded for time not used.
Not turning up at all is a no-show. A no-show is a completed Booking for payment purposes: the money is due in full. Repeated no-shows may lead to a restriction of your account (section 23) and are dealt with in the Community Guidelines.
10. Conduct
By using the Platform you undertake to follow the Community Guidelines — punctuality, paying your share, honesty about results and level, respect for the Venue's rules and for the other players. Serious or repeated breaches lead to the measures in section 23.
11. Player level and rating
Padli assigns each player a level on a scale from 0 to 7, together with an indication of how reliable that level currently is (a confidence band that narrows as you play more matches).
- Your starting level comes from a short questionnaire you complete yourself, or from your first matches.
- After that, the level moves on the basis of confirmed results of matches marked as competitive.
- Whether a match counts as competitive is decided before it is played. It can be changed up to the moment the match starts, and is frozen from then on. It is never decided after the result is known.
- You may lower your own level yourself. This is deliberate and irreversible: it can only be raised again by playing matches.
Within the Platform, your level may also decide which matches are open to you: an Organiser publishing an open match may restrict it to a range of levels (section 7), and a Seat so restricted cannot be taken by a player outside that range or by a player who has no level yet.
The level is an internal classification created to match players of similar strength. It is not an official rating, it is not issued by any federation, and it carries no meaning outside the Platform. We do not guarantee that it accurately reflects your ability, and you may not present it as an official qualification.
Manipulating the level — deliberately losing, entering false results, playing under another person's account, or creating a second account to obtain a different level — is prohibited and is grounds for a restriction (section 18).
12. Match results
After a match, the participants may enter the result.
- Any participant may enter a score; the others are asked to confirm it.
- A participant who disagrees may propose a different score, which the others are then asked to confirm in turn.
- A proposed result that nobody contests is automatically confirmed after 24 hours.
- Scores are validated against the rules of the sport and format that was played.
A participant who was never actually in the match may state so, which removes them from the result. Because that statement can invalidate the whole result, it is recorded with its author and may be contested by the person who holds the Seat.
Results are used for your match history, for the level (where the match was competitive) and for the leaderboards.
13. Match history and tagging
You may record who you played with after a match. Where the person you tag is a Padli user, the tag is a request: it appears in their account and takes effect only if they accept it. Silence is not consent — an unanswered tag request does not attach to their history.
14. Leaderboards and ranking points
Padli maintains leaderboards for each Venue and one platform-wide leaderboard. Positions are calculated from points earned by playing and by results, accumulate over time and are not reset. Points already awarded are recorded permanently and are not recalculated retroactively.
Appearing on a Venue's player list is optional and can be switched off in your profile settings.
Achievements and badges shown in your profile are derived from your own activity on the Platform and have no monetary value.
15. Profiles, connections and visibility
- You may follow other players. Following is one-directional and takes effect immediately — it does not require the other person's approval, and this is so whether or not their profile is private. Anyone may therefore follow you without asking.
- Your profile may show your name, profile picture, biography, level, playing preferences, statistics and match history, and your followers and the people you follow.
- You may set your profile to private. A private profile shows only your name and profile picture to people who do not follow you — your biography, playing preferences, statistics, match history and follower lists are hidden from them. You remain findable in search, and people can still follow you; what changes is how much they see.
- You may switch off your appearance on Venue player lists.
- You may block another user. A block is mutually invisible: the two of you disappear from each other's profiles, searches, lists and suggestions, and any follow between you is severed. Unblocking does not restore the previous follows.
- A Venue's public "recent results" feed shows matches played at that Venue. Players whose visibility settings do not allow it are masked rather than named, and Guests are never named.
16. Invite codes
Every player has a permanent personal invite code and a link that carries it. A person who creates an account through your code is connected to you automatically. Invite codes must not be published as advertising, distributed in bulk, or used in any scheme that rewards mass registration.
17. Content you provide
You retain your rights in the content you upload (profile picture, biography, names of guests you enter, results you record). By uploading it you grant Padli a non-exclusive, royalty-free right to store it, display it within the Platform to the users entitled to see it, and reproduce it as technically necessary to operate the service.
You warrant that you have the right to the content you upload, that a profile picture does not infringe anyone else's rights, and that you have the agreement of any person whose name or contact detail you enter.
18. Prohibited activities
It is prohibited to:
- provide false identification data or use another person's identity;
- create more than one account, or create an account to circumvent a block, a restriction, an outstanding balance or a level;
- enter false match results, or manipulate the level or the leaderboards in any way;
- book courts with no intention of using them, book in bulk in order to resell slots, or otherwise trade in bookings;
- add a person as a Guest, or enter their contact details, without their agreement;
- harass, insult, threaten or discriminate against other users, Venue staff or our employees;
- upload unlawful, offensive, violent or sexually explicit content, or content protected by someone else's rights;
- use automated tools (bots, scrapers, crawlers) to access, copy or monitor the Platform;
- attempt to access parts of the Platform, other users' data, or the Venue and administrator consoles without authorisation;
- interfere with the operation, integrity or security of the Platform;
- use the Platform for any purpose that is unlawful or contrary to these Terms.
19. Notifications and communication
To operate the service we send you transactional messages — booking confirmations, invitations and responses to them, payment and refund notifications, reminders before a match, requests to confirm a result, and security notices. These are part of the service and are not promotional.
Depending on your settings and your device, they may reach you as an in-app notification, a push notification, an e-mail or an SMS. SMS is used for the messages that must reach you even when the application is not installed or not open: your sign-in code, booking invitations and the responses to them, reminders that a payment is due, a Venue's request to collect a Booking through the Platform (section 5.8), and confirmation of a change to your telephone number or e-mail address.
In your notification settings you can switch each category (bookings, reminders, invitations, payments, social activity, achievements, and account notices) on or off for each channel (push, e-mail, SMS) independently. Everything is on by default. Two exceptions:
- the in-app notification centre always keeps the record, whichever channels you switch off, so that nothing that concerns your booking is lost; and
- payment messages by e-mail cannot be switched off, because they carry your receipts and we are obliged to issue those.
Booking confirmation e-mails contain a calendar invitation so the match can be added to your calendar. On iOS, a Live Activity may show a countdown to your match and the live score on the lock screen. A booking may be added to Apple Wallet or Google Wallet as a pass, which updates if the booking changes.
Marketing messages are a separate matter and are never on by default. They are sent only where you switch them on yourself in your account settings, and switching them off withdraws that consent immediately and for the future.
We may also contact a person who is not a Padli user when you invite them to a match, using the contact detail you provided, in order to deliver that invitation. Such messages are strictly limited, are subject to a daily cap, and a recipient who opts out is never contacted again.
20. Venues and their rules
Each Venue sets its own house rules — equipment, footwear, access, guests, minors, lighting, use of changing rooms. You must follow them. A Venue may refuse access to a person who does not comply, and Padli has no power to override that decision.
Any complaint about the court, the facility, the equipment or the staff should be raised with the Venue first. We will assist where we can, but the Venue is responsible for the service it provides.
21. Intellectual property
All content of the Platform — software, source code, design, layout, graphics, illustrations, icons, texts and the "Padli" name and logo — is the property of VORTEK INOVATIONS or of its licensors and is protected by the applicable copyright and industrial property legislation.
Use of the Platform grants you a limited, personal, non-transferable and revocable licence to use it for its intended purpose. It does not transfer any right of ownership. Reproduction, distribution, modification or public communication of the content of the Platform without our prior written consent is prohibited.
22. Liability
VORTEK INOVATIONS bears no responsibility for the sporting service itself. The Venue is responsible for the court, its condition and safety, its equipment and its facilities, and for compliance with its own obligations towards you.
You play at your own risk. Padel is a physical sport. Padli is not responsible for injury, illness, damage to or loss of personal property sustained before, during or after a match, save where such liability cannot be excluded under mandatory law.
Padli is not responsible for the conduct of other users, whether they are people you invited or people who joined an open match, nor for any arrangement, payment or dispute between you and them.
We do not guarantee the accuracy, completeness or timeliness of information published by Venues (prices, opening hours, court characteristics, amenities and photographs), which is entered and maintained by the Venues themselves.
We will make reasonable efforts to ensure the uninterrupted availability of the Platform. However, we do not guarantee that it will be available without interruptions, errors or technical issues, and we bear no responsibility for damage arising from temporary unavailability, technical failure, or the failure of a third-party service (payment processing, push delivery, e-mail or SMS delivery).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the mandatory legislation of the Republic of North Macedonia, including your rights as a consumer.
23. Suspension, termination and deletion of the account
You may stop using the Platform at any time and may delete your account from your account settings.
Deletion is irreversible. Before deletion is carried out we show you what it entails. Deletion is not possible while you have an outstanding balance; any Credit standing at any Venue is forfeited on deletion — including Credit you paid for — and we show you the amount before you confirm (section 5.6). On deletion, your upcoming bookings are cancelled, the Seats you hold in other people's bookings are released, your personal data is anonymised and your account is closed. Financial and audit records that we are required to keep are retained in accordance with the Privacy Policy.
We may suspend or terminate your access — temporarily or permanently — where you breach these Terms or the Community Guidelines, where you have an unsettled debt, where there is reasonable suspicion of fraud or manipulation, or where required by a competent authority. Where the breach is not serious, we will normally warn you first.
24. Personal data protection
We process personal data in accordance with the Law on Personal Data Protection of the Republic of North Macedonia and the General Data Protection Regulation. What we collect, why, on what legal basis, with whom we share it and how long we keep it is set out in the Privacy Policy and the Cookie Policy.
25. Changes to these Terms
We may amend these Terms at any time — for example when the service changes, or when legislation requires it. The amended Terms take effect upon publication on the Platform, unless a later date is stated. Where a change materially affects your rights, we will notify you in advance by a reasonable means. Continued use of the Platform after the change takes effect constitutes acceptance of the amended Terms.
Changes never apply retroactively to a Booking already made: the price, the service fee, the cancellation policy and the grace window frozen onto that Booking continue to govern it.
26. General provisions
26.1. Severability. If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision is deemed deleted to the minimum extent necessary and the remaining provisions continue in full force.
26.2. No waiver. If we do not insist on the strict performance of any provision, or do not exercise a right available to us, that is not a waiver of that provision or right, and does not prevent us from relying on it later.
26.3. Entire agreement. These Terms, together with the Privacy Policy, the Cookie Policy, the Refund and Cancellation Policy and the Community Guidelines, constitute the entire agreement between you and Padli in respect of the Platform, and supersede any earlier understanding on the same subject. This does not exclude liability for a statement made fraudulently.
26.4. Assignment. You may not transfer your account or your rights under these Terms to another person. We may transfer our rights and obligations under these Terms to another entity — for example in a restructuring, a merger or a sale of the business — provided this does not reduce your rights. We will notify you before it takes effect.
26.5. Force majeure. Neither party is liable for a failure or delay in performance caused by circumstances beyond its reasonable control — including natural disasters, extreme weather, fire, flood, epidemic, war, acts of terrorism, civil unrest, strikes, failure of public telecommunications or power networks, or an act of a public authority. Where such an event prevents a match from being played, the money is returned to you.
26.6. Third-party content. The Platform contains links to and content from third parties (among others, a Venue's own website, and maps). We do not control them, we do not endorse them, and we are not responsible for their content or their practices. Their use is governed by their own terms.
26.7. Language. These Terms may be published in several languages. In the event of a discrepancy between the language versions, the English version prevails, save where mandatory legislation requires otherwise for consumers in a particular jurisdiction.
27. Applicable law and dispute resolution
These Terms are interpreted and applied in accordance with the laws of the Republic of North Macedonia. For all disputes arising from or related to these Terms, the competent court is the court in Skopje, Republic of North Macedonia. This does not deprive you of the protection of the mandatory consumer-protection rules of the country of your habitual residence.
Before initiating court proceedings, the parties will attempt to resolve the dispute by mutual agreement. Please contact us first at hey@padli.app — you have the right to submit a complaint to VORTEK INOVATIONS, which will be reviewed and answered within 15 (fifteen) business days of receipt.
If you are not satisfied with our answer, you retain the right to address the competent consumer-protection authority, or any body for the out-of-court resolution of consumer disputes competent under the applicable legislation.
